Subcontracts usually include so-called “flow-down” clauses. These broadly worded provisions purport to take all the terms, conditions, requirements, etc. of the prime contract and incorporate them into the subcontract. If read literally, the prime contractor assigns total responsibility for project completion to the subcontractor. This, of course, is not how flow-down clauses are interpreted.

Ideally, the terms of an agreement are spelled out within the four corners of the written document itself. Due to the complexity of construction projects, however, it is common to incorporate additional documents into construction contracts by reference. These documents may or may not be physically attached to the contract. The language purporting to make the documents part of the agreement may vary.

Construction contracts sometimes call for payment on a unit price basis. For certain types of work, this makes a great deal of sense. Precise quantities of repetitive work items are unknown and the contractor will be paid only for the work actually performed. But unit price bid schedules can lead to disputes. Discrepancies between the pay items and the work description are a fertile source of claims. Bidders may attempt to unbalance bids to their advantage. Owners may respond by deleting overpriced line items of work.
